THDA Board of Directors


THDA is governed by a Board of Directors. The Comptroller of the Treasury, the Secretary of State, the State Treasurer, the Commissioner of the Department of Finance and Administration, and a Staff Assistant to the Governor serve as ex officio board members of THDA. Remaining Board members are appointed by the Governor, the Speaker of the State Senate and the Speaker of the State House of Representatives and are required to be representatives of the housing, real estate, and home building industries, the mortgage profession, local governments, the First, Second or Third U.S. Congressional District, the Fourth, Fifth or Sixth U.S. Congressional District and the Seventh, Eighth or Ninth U.S. Congressional District and must be knowledgeable about the problems of inadequate housing conditions in Tennessee.

The THDA Board of Directors includes four committees:

The Audit and Budget Committee

The Audit and Budget Committee is statutory and its duties are specified in law. The Director of Internal Audit of THDA reports both to the Committee and the Executive Director of THDA. The Committee has traditionally also reviewed the performance of the Executive Director.

The Bond Finance Committee

Bond Finance Committee is statutory and most of its duties are specified in law; however, the Committee also exercises general oversight of the agency's financial operations. Staff of the members of the Committee work closely with staff of THDA and are generally knowledgeable of agency activities, especially those related to issuance, debt management and investment.

The Grants Committee

The Grants Committee has broad responsibility for oversight of the Agency's grant programs and other programs with non-profit agencies. Also responsible for overseeing the Agency's statewide homebuyer education initiative (THBEI).

The Policy and Programs Committee

The Policy and Programs Committee has broad responsibility for reviewing programs proposed to be implemented, to determine whether they are consistent with the agency mission, whether they are likely to achieve the intended result, how they can be managed and whether they are designed to be administratively compatible with other activities of THDA. The Committee also has responsibility for reviewing existing agency programs according to the same criteria. The Committee also monitors and reviews policy issues for the Board, whether these issues arise in the Board, in state legislation, in federal legislation, or in other agencies with which THDA works. The Committee reviews the Allocation Plan for Low Income Tax Credits.

The THDA Board of Directors meets on the third Thursday of alternating months, beginning in January.
